Terms of Service

1. Agreement to terms

By creating an account or using VendorEdge ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms constitute a legally binding agreement between you and VendorEdge.

2. Description of service

VendorEdge is a subscription-based software platform that provides location intelligence tools for food truck operators, including location scoring, shift planning, revenue tracking, and analytics. The Service is provided via our website at vendoredge.app.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts

To use VendorEdge you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorised use of your account at hello@vendoredge.app.

You must be at least 18 years old to create an account. Accounts are for individual use only and may not be shared or transferred.

4. Subscription and billing

VendorEdge is offered on a subscription basis at $39 per month (or the price displayed at the time of your subscription). All prices are exclusive of applicable taxes.

  • Free trial: New accounts receive a 14-day free trial. A valid payment method is required to start the trial. You will not be charged until the trial period ends.
  • Billing: After the trial, your subscription renews automatically each month on the same date. You authorise us to charge your payment method on file.
  • Cancellation: You may cancel your subscription at any time through the billing page at vendoredge.app/billing or by contacting us. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not offer refunds for partial billing periods.
  • Failed payments: If a payment fails, we will notify you by email. Access to the Service may be suspended until payment is resolved.
  • Price changes: We may change the subscription price with at least 30 days notice. Continued use after a price change constitutes acceptance of the new price.

Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated tools, bots, or scrapers to access or collect data from the Service.
  • Misuse the anonymous location sharing feature by submitting false or misleading location data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or otherwise commercialise access to the Service.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these terms.

6. Your data and content

You retain ownership of all data you input into VendorEdge, including shift data, revenue figures, and location names. By using the Service, you grant VendorEdge a limited licence to store and process this data solely to provide the Service to you.

When you enable anonymous location sharing for a planned location, you grant VendorEdge permission to share that location data (cuisine type and approximate area only) with other users of the platform, as described in our Privacy Policy.

We do not use your individual data for any purpose other than providing the Service. We may use aggregated, anonymised data for service improvement.

7. Accuracy of information

VendorEdge provides location scores and event data as decision-support tools only. Scores are calculated based on available data and algorithms, and should not be treated as guarantees of revenue or business performance. Event data is sourced from third-party providers and may be incomplete or subject to change.

You are solely responsible for your business decisions. VendorEdge is not liable for any business outcomes resulting from use of the Service.

8. Intellectual property

VendorEdge and all associated intellectual property, including the software, design, algorithms, and content, are owned by VendorEdge and protected by applicable intellectual property laws. These terms do not grant you any rights to use VendorEdge's trademarks, logos, or branding.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by applicable law, VendorEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from these terms or your use of the Service shall not exceed the amount you paid to VendorEdge in the 12 months preceding the claim.

11. Termination

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion. We may terminate or suspend your account immediately, without prior notice, if you breach these terms.

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy.

12. Governing law

These terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.

13. Changes to these terms

We may update these Terms of Service from time to time. We will notify you of material changes by email or by displaying a notice on the platform at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
